The rules of the road.

By accessing this website or using any Neuramorphic software, you agree to be bound by these Terms of Service. If you are entering into these terms on behalf of a company, you represent that you have authority to bind that company.

You must be at least 18 years old and legally able to enter into a binding contract. Use is void where prohibited by law.

Subject to these terms and any separate written agreement we sign with you, Neuramorphic grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use our website and evaluation materials for lawful, internal business purposes.

Production deployment of NeuratronLLM-Edge or other Neuramorphic foundation models requires a separate commercial agreement.

You will not, and will not permit anyone to:

• Reverse engineer, decompile or disassemble our software, except where applicable law expressly permits it.
• Extract, infer or attempt to recover model weights, calibration parameters or proprietary architectures.
• Use our materials to develop a competing foundation model or to benchmark for public ranking without our written consent.
• Bypass or interfere with security, rate limits, air-gap controls or audit logs.
• Use the services to generate unlawful, harmful, infringing, deceptive or privacy-violating content.
• Remove, obscure or alter any proprietary notices, including patent-pending notices.

Neuramorphic, the Neuramorphic logo, Neuratron™ and NeuraTensor™ are trademarks of Neuramorphic, Inc. All rights, title and interest in and to the website, products, models, documentation and any associated intellectual property remain with Neuramorphic and its licensors.

Our hybrid neuromorphic kernel, on-device adaptation layer and sparse activation engine are protected by a USPTO patent application (patent pending). Disclosure of implementation details requires an executed NDA.

If you provide feedback, ideas or suggestions, you grant Neuramorphic a perpetual, irrevocable, worldwide, royalty-free license to use them without restriction. We are not obligated to keep feedback confidential unless we agree in writing.

Our website and any evaluation materials are provided “as is” and “as available”. To the maximum extent permitted by law, Neuramorphic disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement and accuracy.

To the maximum extent permitted by law, Neuramorphic and its affiliates, officers, employees and agents will not be liable for any indirect, incidental, special, consequential or exemplary damages, or for any loss of profits, revenue, data or goodwill, arising out of or in connection with your use of the services.

Our aggregate liability for any claim related to the website or evaluation materials is limited to one hundred U.S. dollars (US$100). Production engagements have separate liability terms in their commercial agreements.

You will defend, indemnify and hold harmless Neuramorphic and its affiliates from and against any claims, damages, liabilities, costs and expenses (including reasonable attorneys' fees) arising out of your use of the services in violation of these terms or applicable law.

Our products may be subject to U.S. and other export control and sanctions laws. You may not access, download or use the services in or for the benefit of any country, entity or person subject to applicable embargoes or sanctions.

These terms are governed by the laws of the State of California, U.S.A., without regard to conflict-of-laws principles. The exclusive venue for any dispute is the state and federal courts located in San Francisco County, California, and you consent to personal jurisdiction there.

We may update these terms from time to time. We will revise the “Last updated” date above when we do. Continued use after the change constitutes acceptance of the revised terms.
